The item of business for this meeting is to approve the Tri-Party Agreement as presented to us from Monticello Banking Company and Franklin Bank and Trust.  Monticello Banking, the current paying agent and Registar of our 2007, 2009 refunding and 2011 refunding bond issues, recently entered into an Agency Agreement with Franklin Bank and Trust to perform the duties as Successor Paying Agent and Registrar of our bonds.  The Agreement presented for our approval completes this transaction.
